Oracle Corporation said it has priced two public offerings that run at the same time. The common stock offering covers 86,206,897 shares at $116.00 per share. The notes offering includes five series of senior notes, due 2029, 2031, 2033, 2037 and 2046, with interest rates from 7.000% to 8.650%.
Oracle said each offering is expected to close on November 4, 2026, subject to customary closing conditions. Each offering can be completed without the other. Oracle estimated net proceeds of about $9.9 billion from the common stock offering and about $10.0 billion from the notes offering, after underwriting discounts and offering expenses.
The company said it will use the net proceeds for general corporate purposes. These may include capital expenditures, repaying debt, future investments or acquisitions, and cash dividends or stock repurchases. BofA Securities is the sole global coordinator of the offerings.
